Basic documents for an individual shareholder
For a straightforward application owned by one or more individuals, authorities commonly request:
- a clear colour copy of each shareholder's passport;
- a recent passport-size photograph, normally on a plain background;
- contact information and residential address;
- the proposed business activities;
- several proposed trade names;
- details of the appointed manager; and
- specimen signatures or digitally signed application forms.
The passport should be valid and every detail must match the application. Avoid cropped scans, glare, shadows, unreadable machine-readable zones or inconsistent name spellings.
Additional documents for UAE residents
An applicant who already resides in the UAE may also be asked for:
- a copy of the Emirates ID, front and back;
- a copy of the current residence visa or digital residency record;

Memorandum, articles and shareholder resolutions
Depending on the legal form, the incorporation package can require a Memorandum of Association, Articles of Association, shareholder resolution, manager appointment or local service-agent agreement where applicable.
These documents record matters such as ownership, management powers, capital and decision-making. They may need electronic signature, authority authentication or notarisation. Review names, passport numbers and ownership percentages carefully before signing.
Documents for a corporate shareholder
When an existing company will own shares in the new UAE entity, the authority generally needs evidence that the parent company exists and has formally approved the investment. The checklist can include:
- certificate of incorporation or registration;
- valid commercial licence or registry extract;
- memorandum and articles of association;
- certificate of incumbency or equivalent evidence of current directors and shareholders;
- board resolution approving the UAE company and appointing a representative;
- power of attorney for the authorised representative;
- ultimate beneficial owner information;
- passport copies for relevant owners, directors and signatories; and
- a corporate structure chart where requested.
Documents issued outside the UAE may need notarisation, legalisation or apostille where accepted, UAE diplomatic attestation and certified Arabic translation. The exact route depends on the issuing country and receiving authority, so confirm it before arranging attestations.
Documents for a branch company
A branch is an extension of its parent rather than a newly owned subsidiary. A branch application may require the parent company's constitutional documents, good-standing evidence, board resolution, manager appointment, power of attorney, audited accounts or activity evidence, plus approvals required by the relevant authorities.
The parent company's proposed branch activity must normally be compatible with its authorised activities. Foreign-company branches can have additional Ministry or authority requirements.
Premises and registered-address documents
Every company needs an eligible registered address or facility under the rules of its authority and activity. The supporting evidence may include:
- a tenancy contract;
- Ejari registration for applicable Dubai mainland premises;
- a free-zone lease, flexi-desk or facility agreement;
- title deed and landlord documents where relevant;
- location plan, layout or fit-out drawings;
- municipality, civil-defence or environmental approvals; and
- a facility inspection report.
The official mainland guidance states that businesses must have a physical operating address and that Dubai rental agreements must be registered with Ejari. Free zones may offer flexi-desks, offices, warehouses and specialist facilities under their own rules.
Documents for regulated activities
Healthcare, education, food, tourism, transport, engineering, financial, legal, recruitment, industrial, media and other regulated activities can require additional documents. Examples include:
- academic and professional certificates;
- experience letters or professional memberships;
- regulator approval or an initial NOC;
- a business plan or feasibility study;
- facility layouts and equipment lists;
- insurance or financial guarantees; and
- manager or responsible-person approvals.
The activity should be checked before leasing premises because a regulator may impose location, size, fit-out or inspection requirements.
Ultimate beneficial owner information
Authorities and service providers may request details identifying the natural persons who ultimately own or control the company. Prepare a clear ownership chart and consistent identity information, particularly where shares are held through multiple companies.
The information should match the corporate documents, shareholder register and declarations. Complex ownership structures may require additional supporting evidence.
Documents needed after the licence is issued
Formation documents are not the same as post-licence documents. After incorporation, further procedures can require the trade licence, incorporation certificate, establishment card, lease and shareholder documents.
For investor and employee visas
- passport copy with sufficient validity;
- recent photograph meeting the required standard;
- entry permit or status details;
- medical fitness result where applicable;
- Emirates ID application; and
